Terms & Conditions for audiovisual projects, music composing, and music production:

1. SERVICES: Velocity Musicworks (VMW) shall compose, record, produce and deliver Original Music (Music) for the Project (Project), subject to the creative decisions of the Producer (Producer) and VMW during the scoring process. An assigned VMW composer shall attend the mix of the Project, if required by Producer. VMW's services shall be rendered on a non-exclusive basis. It is the intent that VMW will begin composing the Music as soon as the final briefing is agreed upon and/or the locked and final video or digital version is delivered to us, and that the completed Music for the Project will be delivered, in the format specified by Producer, according to Producer’s production schedule.
   
   
2. PACKAGE FEE: The Package Fee shall include all costs for composing, recording, producing and delivering the Music, including all costs for the electronic score. However, the following costs are in addition to, and excluded from, the Package Fee (unless otherwise specified):
   
   
• Third-party live musicians and additional sound recording or editing specifically requested by Producer in writing and costs related thereto, including, but not limited to new use, re-use and residuals, if any;
• Mag stock and transfers;
• Licensing and clearance of samples not composed by VMW;
• Actual re-scoring and re-recording costs (i.e., re-recording or editing required for creative or technical reasons outside the control of VMW and after delivery and acceptance of the Score by the Producer);
• Music editor and music editing costs;
• Vocalists and lyricists; g. re-use of the Music in a different production, version or performance than the original project that the Music was commissioned for.
  
  
3. RIGHTS OF PRODUCER: Producer has the right to use the Music in connection with any and all exploitation of the Project in all media. This agreement does not include re-use of the Music in any other production including performance of the Music in a new context or mechanical rights for reproduction of the Project (ie, DVD production both for sale and free give-away).
   
   
4. PERFORMING RIGHTS: VMW is a member of SUISA (Switzerland, Germany and Austria) and ASCAP (rest of the world). VMW's publishing company is registered with ASCAP.
   
   
5. WARRANTIES AND REPRESENTATIONS: VMW always makes customary representations and warranties as to the originality of the Music, that it violates no rights of any third party, and that there will be no liens or encumbrances on the Music.
